Travel Services Terms & Conditions
These Terms & Conditions govern all travel services provided by BLU by ThriveWell, LLC ("BLU," "we," "us," or "our"), including both curated group travel experiences organized and hosted by BLU (each, a "Group Trip") and individualized travel planning, coordination, and booking services provided by BLU ("Individual Travel Services"). Certain trips may be marketed under a specific trip name; however, regardless of branding or naming, all travel services are provided through BLU by ThriveWell and are subject to these Terms & Conditions. By requesting travel services from BLU, registering for a Group Trip, submitting payment, or otherwise participating in travel arranged by BLU, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.
1. Scope of Services.
BLU provides travel coordination and hosting services that may include, but are not limited to, recommendations and booking assistance for accommodations, transportation, tours, activities, wellness experiences, and other travel-related arrangements (collectively, the "Travel Services"). BLU may provide these Travel Services through contractors and subcontractors provided that BLU remains liable for their acts or omissions. Travel Services may be delivered either as a Group Trip or as Individual Travel Services. BLU does not own, operate, manage, or control airlines, hotels, transportation providers, food and entertainment providers, tour operators, activity providers, insurance providers, or other third-party suppliers (collectively, "Suppliers").
2. BLU’s Role.
BLU acts solely as a travel planner, coordinator, intermediary, and, where applicable, Group Trip host. BLU designs itineraries, facilitates bookings, collects payments, and coordinates logistics for actual travel services provided by third-party Suppliers. Each Supplier is solely responsible for its services, including performance, safety, scheduling, and quality. BLU shall not be liable for any act, omission, negligence, default, or failure of any Supplier, including but not limited to, cancellations, delays, overbooking, unsafe conditions, bankruptcy, or insolvency. BLU does not guarantee the performance, quality, or accuracy of description of any service offered by Suppliers. Certain activities or experiences may require additional liability waivers or releases issued by BLU and Suppliers. You agree to execute any required waivers as a condition of participation and acknowledge that BLU is not responsible for incidents, injuries, or losses arising from Supplier-operated activities. Airlines and transportation providers are solely responsible for their equipment, schedules, personnel, baggage policies, delays, cancellations, and performance. BLU is not responsible for airline or transportation decisions or for costs associated with missed or disrupted connections.
3. Travel Experience and Expectations.
While every effort is made to deliver a seamless and well-executed experience, travel inherently involves variables outside of BLU’s control, including weather,Supplier operations, and local conditions. As such, specific timeframes, experiences, conditions, or outcomes cannot be guaranteed, and individual experiences may vary.
4. Traveler Responsibilities.
You are responsible for providing accurate personal information, ensuring that all traveler names match government-issued identification, reviewing itineraries and communications, monitoring Supplier notices, arriving on time for scheduled services, and complying with all local laws, regulations, cultural norms, and Supplier rules. BLU is not responsible for losses, delays, or expenses arising from traveler negligence or noncompliance. No refunds will be provided for missed flights, accommodations, activities, meals, or other services resulting from late arrivals, early departures, voluntary withdrawal, missed connections, or traveler error.
5. Passports, Visas, and Documentation.
You are solely responsible for obtaining, maintaining, and carrying valid passports, visas, entry permits, health documentation, and any other required travel documents. BLU does not verify documentation and is not responsible for denied boarding, refused entry, missed services, or related expenses resulting from improper or insufficient documentation.
6. Health, Fitness, and Wellness Considerations.
Certain Travel Services may involve physical activity, outdoor conditions, or wellness-oriented experiences. Participation is voluntary, and you are solely responsible for determining your physical and medical fitness to travel and participate. BLU’s travel services do not constitute medical advice, diagnosis, or treatment and participation does not establish a medical, clinical, or therapeutic relationship.
7. Quotes, Proposals, and Pricing.
All quotes, proposals, and pricing provided by BLU are based on Supplier availability, rates, and conditions at the time the information is provided and are subject to change prior to confirmation and full payment is received. BLU reserves the right to passthrough any price increases imposed by Suppliers prior to full payment, including fuel surcharges, tax changes, and currency fluctuations.
8. Booking, Registration, and Confirmation.
For Travel Services, participation is not confirmed until registration is completed, the required deposit or payment in full is received (as set forth in the booking documentation), and BLU confirms participation in writing by electronic mail to the electronic address(es) provided by the traveler. No booking is confirmed until BLU receives payment and written confirmation is issued by the applicable Supplier. All travel services are subject to availability and may be contingent upon minimum participation requirements or Supplier acceptance. By submitting payment to BLU, you authorize BLU to collect funds on your behalf and to disburse those funds to local Suppliers as required to arrange your travel. Payment schedules, deposit requirements, and final balance deadlines are set forth in trip-specific or booking-specific materials.
9. Chargebacks and Payment Disputes.
By submitting payment to BLU, you acknowledge and agree that all payments are subject to the cancellation policies of the applicable travel Suppliers and the specificterms of the trip. You understand that certain payments may be non-refundable in accordance with these policies. You agree not to initiate chargebacks or payment disputes with your credit card provider or financial institution for services that are subject to these Terms & Conditions or applicable Supplier policies. Any questions, concerns, or disputes regarding payments, cancellations, or refunds must be directed to BLU in writing and will be handled in accordance with these Terms & Conditions. In the event a chargeback or payment dispute is initiated, you agree that BLU may provide these Terms & Conditions, along with booking records and payment confirmations, as evidence to the applicable financial institution to resolve the dispute.
10. Cancellations and Refunds.
All cancellations, changes, and refunds are governed exclusively by the cancellation and refund policies of the applicable travel Suppliers and the specific terms outlined within the booking documentation for each individual trip. BLU does not control and cannot override Supplier policies or the conditions tied to a specific trip. BLU will request refunds from Suppliers on your behalf and will issue refunds only in the amount refunded to BLU by the Supplier. If a Supplier does not refund BLU, BLU has no obligation to refund the traveler. Group trips operate under group contracts with Suppliers, which impose strict and time-sensitive cancellation terms. If a traveler chooses to cancel or withdraw from a trip after their participation has been confirmed, cancellation must be submitted in writing via email to BLU at BLU@thrivewell.com and will be effective only upon receipt and acknowledgment by BLU. BLU will confirm receipt of the cancellation and will work with the applicable travel Suppliers in accordance with the cancellation terms of that specific trip to request any eligible refunds or credits. Any cancellation penalties will be determined by the Supplier policies and the conditions outlined for that trip and may include forfeiture of deposits, partial refunds, or no refund. Any eligible refunds will be processed only after funds are received from the Supplier, and timing will vary based on Supplier processing.
11. Changes or Cancellations by BLU.
BLU reserves the right to modify itineraries or cancel Travel Services due to Supplier changes, weather conditions, safety concerns, minimum participation requirements, governmental actions, or other operational considerations. In the event BLU cancels a Group Trip prior to departure, BLU will communicate available refund or credit options based solely on the amounts received from applicable Suppliers and in accordance with the specific terms of the trip and Supplier agreements. This is the sole extent of BLU’s liability for a cancelled services.
12. No Refunds for Missed Services.
No refunds will be provided for missed flights, accommodations, activities, meals, or other services resulting from late arrivals, early departures, voluntary withdrawal, missed connections, or traveler error.
13. Assumption of Risk.
Travel involves inherent risks, including but not limited to illness, injury, accidents, weather events, transportation delays, natural disasters, political or governmental actions, and other circumstances beyond BLU’s control. By participating in Travel Services arranged by BLU, you knowingly and voluntarily assume all such risks.
14. Force Majeure.
BLU shall not be liable for losses, delays, or disruptions resulting from events beyond its reasonable control, including but not limited to weather events, natural disasters, pandemics, governmental actions, labor disputes, or Supplier operational failures. Refunds or credits, if any, shall be governed by applicable Supplier or group contract policies.
15. Limitation of Liability.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, BUSINESS INTERRUPTION, OR EMOTIONAL DISTRESS, ARISING OUT OF OR IN CONNECTION WITH: (A) THE USE OF OR INABILITY TO USE THE SERVICES; (B) ANY BOOKINGS, RESERVATIONS, OR TRANSACTIONS MADE THROUGH THE COMPANY; (C) THE ACTS, ERRORS, OMISSIONS, OR NEGLIGENCE OF ANY THIRD-PARTY TRAVEL PROVIDERS (INCLUDING AIRLINES, HOTELS, TOUR OPERATORS, OR OTHER SUPPLIERS); OR (D) ANY DELAYS, CANCELLATIONS, OVERBOOKINGS, FORCE MAJEURE EVENTS, OR OTHER CIRCUMSTANCES BEYOND THE COMPANY’S CONTROL, INCLUDING PERSONAL INJURY, DEATH, OR PROPERTY DAMAGE. BLU ACTS SOLELY AS AN INTERMEDIARY AND DOES NOT OWN, OPERATE, OR CONTROL THIRD-PARTY TRAVEL PROVIDERS, AND DISCLAIMS ALL LIABILITY FOR THEIR ACTS OR OMISSIONS. IN NO EVENT SHALL BLU’S TOTAL AGGREGATE LIABILITY, UNDER ANY THEORY OF LAW, EXCEED THE TOTAL AMOUNT PAID TO BLU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM. TO THE EXTENT ANY LIMITATION HEREIN IS RESTRICTED BY LAW, IT SHALL BE ENFORCED TO THE MAXIMUM EXTENT PERMITTED. ANY CLAIM MUST BE BROUGHT WITHIN ONE (1) YEAR OR BE PERMANENTLY BARRED.
16. Indemnification.
You are responsible for your actions during the trip. By participating in Travel Services, you agree to indemnify, defend, and hold harmless BLU by ThriveWell, LLC, and its affiliates and their respective officers, directors, employees, contractors, affiliates, and representatives from and against any claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees, arising out of or related to your actions, behavior, or failure to comply with applicable laws, Supplier requirements, or these Terms & Conditions. This includes, without limitation, situations where your actions cause injury to another person, damage property, or disrupt the experience.
17. Traveler Conduct and Removal from Trip.
BLU reserves the right, in its sole discretion, to remove any traveler from a Group Trip if their behavior is deemed unsafe, disruptive, unlawful, or otherwise negatively impacts the experience of others, the operation of the trip, or the relationship with travel Suppliers. This includes, but is not limited to, failure to follow guide instructions, inappropriate or abusive conduct, intoxication, or violation of local laws or Supplier policies. BLU’s determination ofwhether removal is necessary shall be final. In such cases, the traveler will be responsible for all additional costs incurred, including but not limited to accommodations, transportation, and return travel arrangements. No refunds will be provided for any unused or missed portion of the trip, and BLU shall have no further responsibility for the traveler’s travel arrangements following removal.
18. BINDING ARBITRATION.
ANY CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THIS CONTRACT, OR THE BREACH THEREOF, INCLUDING ITS ARBITRABILITY, SHALL BE SETTLED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION IN ACCORDANCE WITH ITS COMMERCIAL ARBITRATION RULES. CLAIMS SHALL BE HEARD BY A SINGLE ARBITRATOR. THE ARBITRATION SHALL TAKE PLACE IN MIAMI-DADE FLORIDA AND SHALL BE GOVERNED BY THE LAWS OF THE STATE OF FLORIDA. EXCEPT AS MAY BE REQUIRED BY LAW, NEITHER A PARTY NOR AN ARBITRATOR MAY DISCLOSE THE EXISTENCE, CONTENT, OR RESULTS OF ANY ARBITRATION HEREUNDER WITHOUT THE PRIOR WRITTEN CONSENT OF BOTH PARTIES.
19. Class Action and Right to Jury Waiver.
To the fullest extent permitted by law, any dispute shall be brought solely in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The parties expressly waive any right to maintain or participate in any class action, collective action, private attorney general action, or other representative proceeding. The parties further waive any right to a jury trial to the extent permitted by applicable law.
20. Entire Agreement; Modification.
This Agreement constitutes the entire agreement between the Parties and supersedes all prior oral or written negotiations and agreements between the Parties with respect to the subject matter hereof. No modification or amendment of this Agreement (including any exhibit hereto) shall be effective unless in writing signed by both Parties. These Terms, together with any policies or documents incorporated herein by reference, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect. The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and shall apply only to the specific instance identified and shall not be deemed a waiver of any subsequent breach or default. These Terms shall be interpreted fairly in accordance with their plain meaning and not strictly for or against either party by reason of authorship. Headings are for convenience only and shall not affect interpretation. The word “including” means “including without limitation.”
21. Acceptance of Terms.
By requesting Travel Services, registering for a Group Trip, or submitting payment to BLU, you acknowledge that you have read, understood, and agreed to these Terms &Conditions. These Terms & Conditions constitute the entire agreement between you and BLU regarding Travel Services and supersede all prior or contemporaneous communications, representations, or agreements, whether written or oral.
22. Notice.
The Company may provide notices to users by posting on its website, by email, or by any other reasonable means. Users shall provide notice to the Company by sending written notice to the Company’s designated contact address as set forth in these Terms. Notices shall be deemed given: (a) upon receipt, if delivered personally; (b) upon confirmed delivery, if sent by a nationally recognized courier; or (c) upon transmission, if sent by email to the designated address.
